{"id":10232,"date":"2020-10-26T15:36:00","date_gmt":"2020-10-26T20:36:00","guid":{"rendered":"https:\/\/revoredo.pe\/?p=10232"},"modified":"2020-11-24T11:48:41","modified_gmt":"2020-11-24T16:48:41","slug":"ley-de-sociedades-de-beneficio-e-interes-colectivo-bic","status":"publish","type":"post","link":"https:\/\/revoredo.pe\/en\/ley-de-sociedades-de-beneficio-e-interes-colectivo-bic\/","title":{"rendered":"Ley de Sociedades de Beneficio e Inter\u00e9s Colectivo (BIC)"},"content":{"rendered":"\n<p>\u201cEl pasado 23 de octubre, el Congreso de la Rep\u00fablica del Per\u00fa aprob\u00f3 la Ley de Sociedades de Beneficio e Inter\u00e9s Colectivo (BIC), que establece un marco jur\u00eddico regulatorio para las empresas que, por su propia voluntad, tienen un prop\u00f3sito de beneficio social o ambiental como parte del desarrollo de su objeto social.<\/p>\n\n\n\n<p>La presente ley permite a las empresas que generen un impacto positivo o contribuyan a la reducci\u00f3n de un impacto negativo en el medio ambiente y la sociedad como parte de su actividad econ\u00f3mica, constituirse como tales y ser reconocidas por el Estado, garantizando una protecci\u00f3n legal a su prop\u00f3sito.<\/p>\n\n\n\n<p>Asimismo, pueden acogerse al r\u00e9gimen de dicha ley las personas jur\u00eddicas societarias ya constituidas o por constituirse conforme a los tipos societarios que est\u00e1n previstos en la la Ley 26887 (Ley General de Sociedades). Las personas jur\u00eddicas societarias que se acojan, deber\u00e1n constatarlo en su estatuto y pacto social, y deber\u00e1n inscribirlo en el Registro de Personas Jur\u00eddicas del domicilio que corresponda. A su vez, el estatuto deber\u00e1 incluir en el art\u00edculo que siga al que regula su objeto social, una descripci\u00f3n detallada del prop\u00f3sito de beneficios elegido. De esta manera, las empresas ya existentes pueden cambiar de objeto a un prop\u00f3sito social y ambiental.<\/p>\n\n\n\n<p>Los directores o administradores velar\u00e1n por el cumplimiento de las actividades sostenibles en la empresa. Adem\u00e1s, se establece que el representante legal de la sociedad BIC debe:<\/p>\n\n\n\n<p>a. Introducir pr\u00e1cticas de transparencia organizacional.<\/p>\n\n\n\n<p>b.Encargar a un tercero independiente la elaboraci\u00f3n de un informe de gesti\u00f3n sobre el impacto de la sociedad, en relaci\u00f3n con el prop\u00f3sito de beneficio social y ambiental. El tercero deber\u00e1 elaborar el informe utilizando est\u00e1ndares reconocidos internacionalmente para la medici\u00f3n del impacto social o ambiental, asimismo, este informe debe:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Presentarse ante los socios y accionistas conjuntamente con los resultados econ\u00f3micos del ejercicio anterior.<\/li><li>Publicarse en el portal web de la sociedad u otro medio electr\u00f3nico de comunicaci\u00f3n similar utilizado por esta.<\/li><li>Estar disponible en el domicilio social con la finalidad de que pueda ser consultado por cualquier ciudadano interesado.<\/li><\/ul>\n\n\n\n<p>En caso la empresa realice publicidad enga\u00f1osa, Indecopi puede sancionarla.
